1. Agreement to These Terms

These Terms of Service ("Terms") govern your access to and use of the Recoverly AI website, platform, applications, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Who May Use the Services

You must be at least 18 years old and able to form a binding contract to use the Services. You are responsible for ensuring your use of the Services complies with all applicable laws, regulations, and industry rules.

3. Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to promptly notify us of any unauthorized access or use.

4. Customer Responsibilities and Compliance

Recoverly AI provides software tools. You are solely responsible for how you use the Services, including the content of communications, call scripts, contact lists, calling schedules, and decisions to initiate contact with debtors.

You are responsible for compliance with all applicable laws and regulations, including (where applicable) debt collection, consumer protection, telecommunications, and privacy laws (including requirements related to consent, calling hours, disclosure obligations, opt-outs, and recordkeeping).

5. Prohibited Uses

You agree not to:

• Use the Services for any unlawful, fraudulent, or abusive purpose.
• Attempt to bypass, disable, or interfere with security features of the Services.
• Upload or transmit malware or malicious code.
• Reverse engineer, copy, or resell the Services except as expressly permitted.
• Use the Services to harass, threaten, or unlawfully discriminate against any person.

6. Fees, Billing, and Trial Terms

If you subscribe to a paid plan, you agree to pay the applicable fees as described on the pricing page or in an order form. Fees are non-refundable except where required by law or as expressly stated by us.

Trial access (if offered) may be limited in duration or functionality and may be terminated at any time.

7. Third-Party Services

The Services may integrate with or rely on third-party services (for example, telephony providers, messaging providers, analytics tools, or payment processors). Your use of third-party services may be subject to their terms, and we are not responsible for third-party services.

8. Data and Privacy

Our collection and use of personal information is described in our Privacy Policy. You represent and warrant that you have the right to provide any data you upload to the Services and that your collection and use of such data complies with applicable laws.

WE DO NOT PROVIDE LEGAL ADVICE, AND USE OF THE SERVICES DOES NOT GUARANTEE COMPLIANCE WITH ANY LAW OR REGULATION.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL RECOVERLY AI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT PAID BY YOU TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

12. Termination

You may stop using the Services at any time. We may suspend or terminate your access to the Services if you violate these Terms or if necessary to protect the Services, other users, or third parties.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date above. Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
